DelMar Pharmaceuticals Announces Key Dates and Timeline for Stockholder Participation in Rights Offering
VANCOUVER, British Columbia and MENLO PARK, Calif., May 8, 2019 /PRNewswire/ -- DelMar Pharmaceuticals, Inc. (Nasdaq: DMPI) ("DelMar" or the "Company"), a biopharmaceutical company focused on the development and commercialization of new cancer therapies, today provided an update to stockholders regarding the Company's rights offering and the key dates and terms relative to the offering. Stockholders are advised to ensure they complete their open market purchases of DelMar's common stock by Friday, May 17, 2019 to be considered a stockholder of record on Tuesday, May 21, 2019. Under the proposed rights offering, DelMar will distribute to its holders of common stock and to holders of certain warrants as of May 21, 2019, at no charge, one non-transferable subscription right for each share of common stock held or deemed held on the record date. Each right will entitle the holder to purchase one unit, at a subscription price of $1,000 per unit, consisting of one share of Series C Convertible Preferred Stock with a face value of $1,000 (and immediately convertible into common stock at an assumed conversion price of $4.00) and 125 warrants with an assumed exercise price of $4.40. The warrants will be exercisable for five (5) years after the date of issuance and shall be redeemable as described in the preliminary and final prospectus, when available.
Subscription rights are non-transferable and may only be exercised during the anticipated subscription period of Wednesday May 22, 2019 through 5:00 PM ET on Wednesday June 5, 2019, unless extended by DelMar; provided that in no event shall such extensions extend beyond July 20, 2019.
The expected calendar for the rights offering, unless extended or modified in DelMar's sole discretion, is as follows:
- Friday, May 17, 2019: Ownership Day — in order to be considered a stockholder of record on Tuesday, May 21, 2019, shares should be acquired by this date.
- Tuesday, May 21, 2019: Record Date
- Wednesday, May 22, 2019: Distribution Date; Subscription Period Begins
- Wednesday, June 5, 2019: Subscription Period Ends 5:00 PM ET.
Holders who exercise their subscription rights in full will be entitled, if available, to subscribe for additional units that are not purchased by other shareholders, on a pro rata basis and subject to ownership limitations.
