Your vote “FOR” each proposal will allow for the completion of the proposed merger with TuHURA
Biosciences, Inc. (“TuHURA”).
If less than a majority of our outstanding shares are voted FOR Proposals 3 & 5, the proposed merger with
TuHURA cannot be completed.
Without stockholder approval of the proposals impacting the completion of the proposed merger, Kintara may not have the sufficient capital to support their ongoing business operations and, without additional funding or a strategic transaction, may be required to seek the protection of the bankruptcy courts. In addition, in such events, Kintara’s common stock would likely be delisted from the Nasdaq Capital Market.
The proposed merger will result in a publicly-traded company mainly focused on TuHURA’s development of
novel immunotherapies in oncology that address cancer immune resistance.
If the proposed merger is approved, Kintara common stock holders and common stock warrant holders, in each case, as of the close of business on the business day immediately prior to the effective time of the proposed merger, will receive one contingent value right (“CVR”) for each outstanding share of Kintara common stock held by such shareholder (or, in the case of holders of common stock warrants, each share of Kintara common stock for which such warrant is exercisable). Each CVR will entitle the holder to receive a number of additional shares of Kintara common stock upon achievement of the milestone related to the REM- 001 program, as more fully described in the proxy statement/prospectus filed by Kintara with the U.S. Securities and Exchange Commission (the “SEC”) on August 19, 2024 .
