(1) Exchangeable Shares are shares of Exchangeco (as that term is defined in the Issuer's Current Report on Form 8-K filed with the SEC on January 31, 2013) which are exchangeable on a 1-for-1 basis for shares of common stock in the Issuer at any time at the discretion of the Reporting Person. This Form 3/A amends the Form 3 filed by the Reporting Person on February 15, 2013 solely to amend the disclosure of the Exchangeable Shares beneficially owned as of such date by the Reporting Person.
